Terms of Service

These Terms of Service (the "Terms") govern your use of HeatMapX (heatmapx.com, the "Service") provided by XTV LLC ("we", "us"). By using the Service, you agree to be bound by these Terms.
1. Applicability
These Terms apply to all subscribers of the Service. Any specific rules and guidelines published by us on the Service form part of these Terms.
2. The Service
The Service collects and visualizes visitor behavior data (heatmaps) by installing a measurement tag on the subscriber's website, and generates AI-based improvement suggestions through a command-line interface (CLI) powered by Claude AI.
The Service is offered in three plans (Free / Pro / Team). Plan limits and features are published on the pricing page.
3. Accounts
Subscribers sign in using passwordless email authentication (magic link) or Google sign-in. One person may hold one account.
Subscribers are responsible for safeguarding their API keys and login credentials and must not disclose or share them with third parties.
4. Fees and Subscriptions
Paid plans are auto-renewing subscriptions billed monthly or annually through Stripe. Fees are published on the pricing page.
Subscribers may cancel their subscription at any time through the Billing Portal within the Service. After cancellation, the paid plan remains available until the end of the current billing period.
If a payment fails, after Stripe's automatic retries and a grace period we may suspend the Service or downgrade the account to the free plan. Refunds are not provided as a general rule.
5. Prohibited Conduct
Subscribers must not: violate laws or public order; install the measurement tag on websites containing illegal or harmful content; install the measurement tag on websites they are not authorized to operate; reverse engineer, modify, or copy the Service; impose excessive load on the Service; abuse the Service via automated means; or engage in any other conduct we reasonably deem inappropriate.
6. Subscriber Responsibilities Regarding Measurement
Subscribers may install the measurement tag only on websites they are authorized to operate.
Subscribers are responsible for providing the notices, obtaining the consents, and updating the privacy disclosures of their own website as required by applicable laws (such as the Japan Act on the Protection of Personal Information and the EU General Data Protection Regulation).
7. Intellectual Property
All intellectual property rights in the Service, including trademarks, logos, software, and documentation, belong to us or our licensors.
Content on the subscriber's website remains the property of the subscriber or its rightful owners, and we do not use such content for any purpose other than providing the Service.
8. AI-Generated Suggestions
The Service generates improvement suggestions using AI. Such suggestions are provided for reference only; we do not warrant their effectiveness, accuracy, or legality. Subscribers must review and judge each suggestion before adopting it.
9. Disclaimer of Warranties
The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
10. Limitation of Liability
Our aggregate liability to a subscriber is limited to the amount paid by that subscriber to us during the twelve months preceding the event giving rise to liability. We are not liable for indirect, special, consequential, or incidental damages, including loss of profits or data.
This limitation does not apply where our willful misconduct or gross negligence is established.
11. Suspension and Termination
We may suspend or terminate the Service in whole or in part for technical reasons, maintenance, legal compliance, or other reasonable grounds.
If a subscriber breaches these Terms, we may suspend or terminate the subscriber's account without prior notice.
12. Changes to the Terms
We may amend these Terms from time to time. For material changes, we will provide notice on the Service at least thirty days in advance. The amended Terms take effect on the date specified in the notice.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any disputes relating to the Service or these Terms.
