HeatMapX Partner Terms

1. About These Terms

These terms govern participation in the HeatMapX Partner Program (the "Program") operated by XTV LLC ("we", "us"). By applying, you agree to these terms.

2. Definitions

Partner: A company or sole proprietor (web agency, marketing agency, freelancer, etc.) approved by us to join the Program.

Client: A customer who newly adopts HeatMapX with the Partner's support.

Qualified Referral: A Client has signed up for HeatMapX, the Partner has reported the Client's Organization ID to us, and we have confirmed eligibility.

3. Application and Review

1. Applicants must apply through the designated form.

2. We review each application and may approve or decline it at our discretion. We may not disclose review criteria or reasons.

4. Referral Commission

1. For each Qualified Referral, we pay the Partner 20% of the Client's payments for paid plans (Lite / Plus / Pro) for 12 months from the Client's first payment.

2. Commission is calculated on amounts we actually receive (after refunds and discounts).

3. Commission is settled quarterly and paid in the following month. Balances under USD 50 roll over to the next quarter.

4. Payouts are made via Wise, PayPal, or bank transfer within Japan. Handling of transfer fees is stated in each payout notice.

5. Referral Conditions

1. Only new Clients qualify. Customers who already have a HeatMapX account are not eligible.

2. The Partner must report the Client's Organization ID (starting with org_) within 30 days of the Client's sign-up. Late reports may not qualify.

3. Sign-ups by the Partner itself, its officers or employees, or substantially the same business entity do not qualify.

4. If the Client has used a HeatMapX referral invite code, the invite code takes precedence and the referral does not qualify for Program commission. Invite code benefits do not apply to Partner-referred Clients.

6. Commission Reversal

1. If a Client cancels, commission is paid only through the month of cancellation.

2. If a refund is issued to a Client, the corresponding commission is reversed. If already paid, it will be deducted from the next payout.

7. Partner Benefits

1. We provide one free Pro plan account for the Partner's own use once the Partner has at least one Qualified Referral. The free account starts when we confirm the Partner's first Qualified Referral. If none of the Partner's referred Clients maintain an active paid subscription, we may end the free account. It may not be resold or transferred.

2. Partners may display the "HeatMapX Partner" badge on their website in accordance with our usage guidelines.

8. Prohibited Conduct

Solicitation through spam or abusive practices, representations that mislead others into believing the Partner is HeatMapX or its operator, and false reports (e.g., reporting clients with no real substance) are prohibited.

In case of violation, we may terminate participation and withhold unpaid commission.

9. Taxes

Partners are responsible for any taxes arising from commission payments.

10. Changes to or Termination of the Program

We may change or terminate the Program with prior notice. Commission already earned at the time of change or termination will be paid in accordance with these terms.

11. Governing Law and Jurisdiction

These terms are governed by the laws of Japan. Any dispute shall be subject to the exclusive jurisdiction of the court having jurisdiction over our registered office in the first instance.
